General Terms and Conditions

1. General Provisions
1.1 All deliveries and services are provided exclusively on the basis of the following General Terms and Conditions (GTC) in the version valid at the time of the order.
1.2 Deviating or supplementary conditions of the Client shall not become part of the contract unless their validity is expressly agreed to in writing.
1.3 Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected (Severability Clause).
2. Scope of Application
2.1 These GTC apply to all contracts between The Goodest Stationery Company, Deniz Şahin (the "Contractor") and Clients who are consumers within the meaning of § 13 BGB (German Civil Code).
2.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor attributable to their independent professional activity.
3. Conclusion of Contract
3.1 The presentation of products on the website does not constitute a binding offer. All prices are determined exclusively upon individual request and communicated in a written offer.
3.2 The conclusion of the contract takes place in the following steps:
3.2.1 The Client submits a non-binding inquiry.
3.2.2 The Contractor provides an individual, time-limited offer (via email).
3.2.3 The contract is concluded as soon as the Client expressly confirms this offer within the 14-day acceptance period (in text form, e.g., email).
4. Prices and Payment
4.1 All prices stated in the individual offer are final prices in Euro (€).
4.2 All prices include the statutory value-added tax (gross prices).
4.3 Payment is made in advance in two installments:
4.3.1 First Installment (50% of the total gross amount): Due immediately after conclusion of the contract. The Contractor will only begin creating digital drafts (design phase) after receipt of this down payment.
4.3.2 Second Installment (50% of the total gross amount plus any international shipping costs): Due after final print approval by the Client.
4.4 Printing, assembly, and shipping of the goods will only take place after full receipt of the total gross invoice amount in the Contractor's account.
4.5 For deliveries to countries outside the EU, additional costs (e.g., customs duties or import taxes) may apply. These are not included in the price and must be paid by the Client directly to the responsible local authorities.
5. Delivery and Shipping Conditions
5.1 Shipping within Germany is free of charge for the Client.
5.2 For international shipping, additional costs apply, which are listed as a gross amount in the individual offer. Furthermore, the provisions regarding customs and taxes according to Section 4.5 apply.
6. Copyright and Usage Rights
6.1 Ownership of Design:
All designs, graphics, and layouts created by the Contractor are works protected by copyright. The copyrights remain fully with the Contractor.
6.2 Scope of Use:
Upon full payment, the Client acquires a simple, non-transferable right of use. This is strictly limited to private use (e.g., the Client's own wedding celebration).
6.2.1 Reproduction, editing, or commercial reuse (e.g., independent reprinting by other service providers) is not permitted without the express written consent of the Contractor.
6.3 No Release of Raw Data:
There is no claim to the release of open graphic files (e.g., InDesign or Illustrator files). Only the physical print products or final, protected preview PDFs will be delivered.
6.4 Reference Use:
The Contractor may use photos of the manufactured products for self-promotion (website, social media). Personal data (such as addresses or phone numbers) will be made unrecognizable unless the Client expressly objects.
7. Right of Withdrawal (Cancellation)
7.1 Statutory Right: Consumers generally have a statutory right of withdrawal of 14 days.
7.2 Exclusion due to Personalization: Pursuant to § 312g (2) No. 1 BGB, this right of withdrawal does not apply to contracts for the delivery of goods that are not prefabricated and for whose production an individual selection or determination by the Client is decisive, or which are clearly tailored to the personal needs of the Client.
7.3 Application: Since the offered stationery is personalized according to specific requirements (e.g., individual text, names, dates, layout adjustments), withdrawal is excluded once the design process has begun at the Client's request.
7.4 Premature Expiry: By paying the first installment (50%) and submitting the data necessary for personalization, the Client declares their express consent for the Contractor to begin performing the service before the end of the 14-day withdrawal period. The Client acknowledges that the right of withdrawal expires upon commencement of the execution of the personalized service.
8. Warranty and Liability
8.1 Print Approval & Duty to Cooperate:
The Client is obliged to carefully check the digital proofs (PDF preview) for typesetting, spelling, and content errors as well as the correctness of data. With the written print approval (e.g., via email), the Client confirms the correctness of the content. The Contractor assumes no liability for errors that were already contained in the approved proof and discovered after production. Complaints based on such errors are excluded.
8.2 Sample Set (Test-Kit):
The Contractor offers a fee-based Sample Set. This serves to provide the Client with an impression of the general paper quality, haptics, and printing technique.
8.2.1 Since the Sample Set cannot represent the entire available color spectrum or all finishing variants, deviations in colors or materials that were not explicitly part of the Sample Set do not constitute a defect, provided they are within industry-standard tolerances.
8.2.2 Paper is a natural product. Minor deviations in color, texture, or grammage (thickness) within a batch or compared to the Sample Set are material-related and do not entitle the Client to a complaint.
8.3 Technical Deviations (Color & Representation):
The representation of colors on digital screens (monitors, smartphones) occurs in the RGB color space and can vary significantly depending on device settings. The final print is in CMYK or spot colors. Minor deviations between the digital display and the physical print result are technically unavoidable and do not constitute a defect.
8.4 Limitation of Liability:
The Contractor is liable without limitation for damages resulting from injury to life, body, or health. For other damages, the Contractor is only liable in cases of intent or gross negligence. In the event of a breach of essential contractual obligations, liability is limited to the typical, foreseeable damage.
9. Retention of Title
9.1 The delivered goods remain the property of the Contractor until full payment of the total invoice amount.
10. Final Provisions
10.1 Applicable Law:
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
10.2 Severability Clause:
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. Statutory regulations shall apply in place of the invalid provision.
10.3 Dispute Resolution:
The Contractor is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
